These terms and conditions (T&Cs) govern the referral scheme (the “Scheme”) offered by Strafe Ltd (“we,” “us,” or “our”) to our current clients or approved partners (the “Referring Partner”). By participating in the Scheme, the Referring Partner agrees to the following:

1. Eligibility
1.1 Participation in the Scheme is by invitation only and is limited to existing clients or approved partners.
1.2 Referrals must be genuine potential clients with no prior contact or active negotiations with us.

2. Commission
2.1 Referring Partners will earn 5% commission of the total net project cost (excluding VAT) if the referred project proceeds and results in signed contracts and payment.
2.2 Commission applies only to the agreed project scope at the time of signing. Future work, amendments, or extensions are not eligible unless explicitly agreed in writing.

3. Payment Terms
3.1 Commission payments will be made quarterly. Payments will be split across the duration of the project and tied to project progress payments received from the referred client.
3.2 The Referring Partner must submit an invoice for the relevant quarter to receive payment. Invoices must include:

– Referring Partner’s name and contact details.
– Invoice number
– The referred project details.
– The commission amount being invoiced.
– Bank details for payment to be made to.

3.3 Payment will be processed within 30 days of receiving a valid invoice.

4. Referrals and Tracking
4.1 Referrals must be submitted via the official referral form provided by us.
4.2 Referred clients must confirm that the Referring Partner was their source of referral.
4.3 Referring Partners will have access to a Monday.com dashboard to track referred projects and commission amounts. It is the Referring Partner’s responsibility to review this information for accuracy.

5. Limitations and Exclusions
5.1 Commission is only payable for successful projects that result in completed payments from the referred client.
5.2 If a referred client defaults on payments or cancels their project, no further commission will be paid.
5.3 We reserve the right to disqualify referrals deemed ineligible, including but not limited to:

– Clients already in contact with us.
– Duplicate referrals.
– Referrals in breach of these T&Cs.

6. Confidentiality
6.1 The Referring Partner agrees to keep all information relating to referred clients, projects, and commissions confidential.

7. Legal Disclaimers
7.1 Participation in the Scheme does not create an employment, partnership, or agency relationship between the Referring Partner and us.
7.2 We are not liable for any tax obligations the Referring Partner incurs from commission payments. The Referring Partner is responsible for complying with applicable tax laws and regulations.
7.3 We reserve the right to verify the eligibility of all referrals and may request additional information to confirm validity.

8. Scheme Changes and Termination
8.1 We reserve the right to amend or terminate the Scheme at any time with 30 days’ notice. Ongoing projects will be honoured according to the terms in effect at the time of referral.

9. Disputes
9.1 Any disputes arising from the Scheme must be submitted in writing to ross.davies@strafecreative.co.uk within 14 days of the issue.
